COACHING SERVICES AGREEMENT
These Terms of Service (“Terms”) govern your purchase and use of coaching services offered by The Point C Collective LLC, a California limited liability company (“Coach,” “we,” or “us”). By booking, purchasing, or participating in any coaching session, plan, or program, you (“Client”) agree to these Terms.
These Terms apply to all services offered through https://pointc.co, including subscriptions, coaching packs, one-off sessions, and deeper engagements as described below. Please review them carefully before booking.
Overview of Coaching Services
Coach offers four types of engagements:
- Paced Plans (Subscription): Monthly subscription plans with recurring session cadences (e.g., 1, 2, or 4 sessions/month). Clients are billed monthly and receive a fixed number of session credits. Each scheduled session must be held within 30 days of its originally scheduled date. Missed sessions do not roll forward to cover future sessions and may not be used as credit toward future sessions. There are no refunds for unused sessions.
- Coaching Packs (Prepaid): Prepaid bundles of sessions (e.g., 3 or 6 sessions) to be scheduled ad hoc. Coaching Pack sessions expire 6 months after purchase. There are no refunds for unused sessions.
- One-Off Sessions: Tactical Sessions may be purchased individually at the current client rate. Payment is due prior to booking. These sessions must be used within 30 days of purchase. No refunds.
- Deeper Engagements: Includes strategic offsite facilitation, team workshops, internal accelerators, and leadership trainings. These services are scoped separately and prioritized for current coaching clients. A separate agreement will be required for such services.

1. Services Provided
Coach agrees to provide leadership coaching services to Client, tailored to Client's goals and developmental needs. These services include 50-minute 1:1 coaching sessions conducted via Zoom, asynchronous support, and access to related tools and resources, including "The Idea Bucket" archive.
2. Coaching Norms
Client and Coach agree to uphold the following shared expectations:
- Confidentiality: All coaching conversations are strictly confidential, even if paid by a third party. Coach will not disclose content without Client's explicit permission, within the bounds of the law.
- Coaching vs. Mentoring: Coach operates on a spectrum of coaching (asking questions) to mentoring (offering frameworks). Client may request to dial this balance as needed in each session.
- Respect for Time: Both parties commit to protecting scheduled coaching time. Recurring sessions are expected to be prioritized. Repeated rescheduling may result in forfeiture of the reserved time slot.
- Agenda Ownership: Client owns the agenda for each session and is expected to arrive prepared with topics. Coach will provide accountability, reflection, and guidance.
- No Topic Off Limits: Coaching may include both professional and personal topics relevant to Client’s growth. However, Coach is not a therapist, psychiatrist, psychologist, or licensed medical provider. The coaching relationship is not a substitute for mental health or medical services.
- Prototype Sharing: When possible, Client is encouraged to bring rough drafts or strategic artifacts for live feedback.
- Outcome Ownership: Client is responsible for implementing actions and driving their own development outcomes.
These coaching norms are a living framework and may be updated periodically by Coach. The most current version is maintained at https://pointc.co/clients and shall be considered part of this Agreement upon posting.
3. Communication Between Sessions
- Signal (Preferred): Best for quick updates, Loom links, and timely questions. Replies usually within 24 hours (Mon–Thurs).
- Slack: For cohort-based engagements only. Replies within 24 hours (Mon–Thurs).
- Text (Urgent Use Only): For emergencies or time-sensitive issues.
- Email: For longer reflections or non-urgent matters when Signal or Slack aren’t a fit. Replies typically within 48 hours (Mon–Thurs). Not for urgent or time-sensitive matters.
4. Rescheduling Sessions
To reschedule a session, use https://calendly.com/coreyford/reschedule and provide at least 48 hours' notice. Coaching sessions that are canceled or rescheduled less than 48 hours before a session are subject to being charged the full rate.
- Subscription Clients: Each session must be held within 30 days of its originally scheduled date or it is forfeited. Missed sessions may not be rolled forward or used to offset future session costs.
- Coaching Packs: Rescheduled sessions must still fall within the 6-month expiration window.
Coach may adjust rescheduled sessions to avoid conflicts with other recurring client sessions.
5. Between-Session Support
Coach provides one round of asynchronous feedback between each session, such as Loom recordings or document reviews, limited to 10 minutes. This support does not roll over if unused.
6. Fees and Payment
Payment may be made by the Client personally or by a sponsoring organization (e.g., the Client’s employer). Regardless of payer, the Client remains responsible for ensuring payment is made according to the agreed terms. Coach is not a party to any agreement between Client and their employer and assumes no liability for the employer’s failure to pay.
Client agrees to the rate and payment terms selected at time of purchase. Payment is due in advance of sessions.
- Subscription sessions: Must be held within 30 days of their original date. They may not be rolled forward or used as credit toward future sessions.
- Coaching Pack sessions: Must be used within 6 months of purchase.
- Tactical Sessions: Expire 30 days after purchase.
- No refunds will be given for unused sessions.
7. Credit Card Authorization
Client agrees to provide a valid credit card via Stripe at the time of purchasing any coaching subscription, pack, or session. By doing so, Client authorizes Coach to charge the card on file for:
- Recurring subscription payments
- One-off session purchases
- Prepaid Coaching Packs
- Additional sessions or services outside the original scope of purchase, including Tactical Sessions not covered by the subscription or pack, at the current client rate
This authorization remains in effect until Client cancels it in writing or all coaching services are concluded and paid in full. Stripe securely stores payment information and Coach does not retain or have direct access to card details.
8. Promotional Use of Testimonials
Client agrees that if they voluntarily provide a testimonial about Coach (e.g., via LinkedIn), Coach may use that testimonial in promotional materials. Coach will respect requests for anonymity or removal.
9. Term and Termination
Client or Coach may terminate this Agreement at any time by providing written notice. If Coach initiates termination, unused sessions will be refunded. If Client initiates termination, unused sessions are forfeited.
10. Limitation of Liability
Coach makes no guarantees about specific outcomes. In no event shall Coach’s liability exceed the amount paid by Client for services rendered.
11. Availability Disclaimer
Coach will make reasonable efforts to maintain availability consistent with norms outlined in this Agreement, but does not guarantee availability outside of scheduled times or asynchronous norms.
12. Force Majeure
Coach shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, pandemic, or failure of communication networks.
13. Future Engagements
If the Client and Coach agree to pursue a deeper engagement—such as strategic facilitation, team training, internal accelerators, or consulting work beyond the scope of this coaching agreement—a new, separate agreement will be required to outline the specific terms, deliverables, timelines, and compensation. This Agreement does not cover such services.
14. Intellectual Property Rights
All materials provided by Coach, including but not limited to exercises, templates, frameworks, and written or recorded materials, are the intellectual property of Coach and are provided solely for the personal use of the Client. Client agrees not to distribute, reproduce, or share such materials without written consent.
15. Data & Privacy
Coach uses secure tools (including Calendly, Zoom, Stripe, Signal, Loom, and email) to deliver services and manage scheduling, communication, and payments. While Coach takes reasonable steps to safeguard Client data, the Client acknowledges that no system is completely secure. By engaging in services, Client consents to the use of these third-party platforms and their respective privacy policies. Coach will not share Client information beyond these platforms without explicit permission.
16. Third-Party Tools
Coach may recommend or utilize third-party tools to support Client development. Client accepts any associated risks and is responsible for their use of those tools.
17. Arbitration
Any dispute arising under this Agreement shall be resolved by binding arbitration conducted in Alameda County, California, under the rules of the American Arbitration Association.
18. Governing Law
This Agreement shall be governed by and construed under the laws of the State of California.
By booking or purchasing any services from The Point C Collective LLC, you acknowledge that you have read, understood, and agreed to these Terms of Service.
